This End User License Agreement is the approved license planned for the Arizmic desktop software. It becomes operational when a user accepts it during enabled software activation; publishing it on the pre-release website does not grant a software license.
License grant and term
During an active Individual subscription, Arizmic LLC grants the subscriber a limited, nonexclusive, nontransferable, revocable license to install and use the generally released Arizmic desktop software for the subscriber's own quantitative research and supervised operations.
The license is for one natural person. The subscriber may maintain up to two activated installations for that person's use. An activation is represented by a random installation ID. The software may not be shared among users, resold, sublicensed, rented, or used to provide a service-bureau or hosted research service for third parties.
The license continues through the subscription's paid-through date unless it ends earlier under this Agreement. A recurring subscription renews under the checkout terms until canceled.
Activation, updates, and support
Activation is performed directly with Lemon Squeezy using the subscriber's license key and random installation ID. License validity and paid-through expiration follow the subscription and license status maintained through that service. The subscriber is responsible for protecting the license key and deactivating an installation that is no longer controlled by the subscriber.
An active subscription includes generally released Arizmic updates and reasonable-efforts email support. It does not include third-party data, model, brokerage, connectivity, cloud-compute, or hardware services. Arizmic may change system requirements or retire an obsolete release when reasonably necessary for security, compatibility, or maintainability.
Restrictions
The subscriber may not defeat activation limits, bypass license checks, distribute license keys, modify the software to avoid payment or safety controls, remove proprietary notices, or use the software unlawfully. The subscriber may not reverse engineer, decompile, or disassemble the software except to the limited extent that applicable law expressly permits the activity despite this restriction.
The subscriber remains responsible for access controls, device security, backups, credentials, provider permissions, data rights, and compliance with laws that apply to the subscriber's research or trading activity.
User material and third-party services
The subscriber retains ownership of datasets, strategies, plugins, notebooks, configurations, and results created or imported by the subscriber. Arizmic receives no ownership interest in that material merely because it is used in the software.
The software can connect to supported services selected by the subscriber. Those services have separate terms, charges, entitlements, data licenses, credentials, privacy practices, jurisdictions, and availability. Arizmic does not grant rights to third-party data or guarantee an independent service. A provider failure or a change in its interface may limit an integration until it can be updated.
Native AI integration
AI features provide user-directed assistance with authoring, explanation, diagnosis, or investigation. Output may be incomplete, incorrect, insecure, or unsuitable for the subscriber's purpose. The subscriber must review generated material, validate code and assumptions, protect confidential context, and retain control of any research or deployment decision.
AI output does not guarantee correctness, robustness, profitability, or future performance. Hosted-model requests are sent to the provider selected by the subscriber under that provider's terms; local models are governed by their own software and configuration.
Privacy and update checks
The initial release will not include automatic product analytics or automatic crash reporting. A minimal update check may transmit the installed version, operating system, processor architecture, and update channel without project contents or a stable tracking identifier. The Privacy Policy explains provider connections, activation, and any later optional telemetry.
Expiration, termination, and local files
When the subscription expires, licensed software functions may lock until access is restored. Expiration will not intentionally delete or encrypt user-created local projects, datasets, notebooks, strategies, or results. File formats and external dependencies may still affect whether another tool can open particular material.
The uninstaller will offer separate, verified choices to keep or remove user-created project data. Removing the application is not consent to remove those files.
For an ordinary remediable breach, Arizmic will provide a reasonable opportunity to cure before terminating the license. Arizmic may suspend or terminate immediately when reasonably necessary for fraud, malicious activity, a material security threat, license circumvention, or legal compliance. Sections that by their nature should survive, including ownership, restrictions, disclaimers, and liability limits, survive termination.
If Arizmic permanently discontinues paid access before the paid-through date, Arizmic will provide a pro-rata refund for the unused period unless access ended because of the subscriber's breach or a legal necessity for which a refund is prohibited.
Agreement records and material changes
Activation requires affirmative acceptance of the then-current Agreement. The application will record locally the acceptance timestamp, Agreement version, and cryptographic hash. Arizmic will retain an immutable internal archive of each accepted Agreement text; public pages display dates and current text rather than a customer's acceptance record.
A material change to this Agreement requires notice and affirmative reacceptance. A nonmaterial clarification may take effect on the stated update date where permitted by law.
Warranties and liability
The software is a research tool, not a brokerage service or professional adviser. Research results, simulated fills, AI output, provider data, and deployment controls cannot eliminate market, model, operational, or execution risk.
To the extent permitted by law, the software is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, noninfringement, uninterrupted operation, or results. Arizmic is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, trading losses, lost data, or business interruption.
To the extent permitted by law, Arizmic's aggregate liability arising from the software or this Agreement will not exceed the fees paid for the subscriber's current billing term. These limitations do not apply where liability cannot lawfully be excluded or limited. The approved production Agreement may include jurisdiction-specific consumer terms after qualified legal review.
